Introduction
The introduction of Section 17A of the Malaysian Anti-Corruption Commission (MACC) Act 2009, which officially took effect on 1 June 2020, represents a landmark shift in Malaysia’s legal landscape regarding corporate governance. This provision establishes the principle of corporate liability, meaning a commercial organization can now be held criminally liable if a "person associated" with it commits a corrupt act to gain or retain business or a business advantage for the organization. Unlike previous laws that focused primarily on the individuals committing the bribe, Section 17A holds the entity itself accountable. Crucially, it also imposes personal liability on directors, controllers, and senior management, who are deemed guilty unless they can prove the offense was committed without their consent and that they exercised due diligence to prevent it.
